Welcome to Prosperity AI, a product of Prosperity AI Inc. These Terms of Service (“Terms”) govern your access to and use of the Prosperity AI platform, including our website at prosperityai.com, our application at app.prosperityai.com, and all related services (collectively, the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Definitions

• “We,” “Us,” “Our,” or “Company” refers to Prosperity AI Inc., a Michigan corporation.
• “You,” “Your,” or “User” refers to the individual or organization accessing or using the Service.
• “Service” refers to the Prosperity AI platform, including all features, tools, content, and functionality we provide.
• “User Content” refers to any data, text, documents, financial records, organizational information, strategic plans, or other materials that you upload, submit, or create through the Service.
• “AI Output” refers to any content generated by the artificial intelligence features of the Service, including strategic plans, advisory responses, reports, analyses, and recommendations.

2. Account Registration and Responsibilities

2.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You agree to keep your account information current at all times.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You are fully responsible for all activity that occurs under your account. Notify us immediately at contact@prosperityai.com if you suspect unauthorized access.

2.3 Account Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement.

2.4 Team Accounts

If you invite team members to your organization’s account, you are responsible for their compliance with these Terms. The account owner controls access permissions and is responsible for managing who can view, edit, or delete organizational data.

3. Description of the Service

Prosperity AI is an AI-powered strategic planning and execution platform designed for organizations. The Service includes Plan Mode (AI-guided strategic plan creation through five phases), Execute Mode (KPI tracking, action items, finance management, AI advisor, and insight reports), BYOP (Bring Your Own Plan upload and extraction), and Annual Refresh (rolling strategy updates). Users can also manage teams and upload documents for analysis.

The Service uses artificial intelligence technology, including Anthropic’s Claude API, to process user inputs and generate strategic planning content.

4. Subscriptions, Payments, and Billing

Access to the Service requires a paid subscription. Your subscription will automatically renew unless you cancel before the renewal date. You can cancel at any time through your account settings or by contacting us.

Payments are generally non-refundable. If you cancel, you retain access through the end of your current billing period. We may change pricing with at least 30 days’ notice.

5. Acceptable Use Policy

The Service is intended for legitimate strategic planning and organizational management purposes. You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to the Service or other users’ accounts
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit viruses, malware, or harmful code
• Reverse engineer, decompile, or attempt to discover the source code
• Use automated tools (bots, scrapers) without our express written permission
• Resell, sublicense, or redistribute access to the Service
• Use AI Output to train competing artificial intelligence or machine learning models

6. Artificial Intelligence Disclaimers

6.1 AI-Assisted, Not Professional Advice

The Service provides AI-assisted strategic planning tools. AI Output is not a substitute for professional consulting, legal, financial, tax, or accounting advice. The strategic plans, recommendations, analyses, and other content generated by the AI are intended to serve as a starting point and a tool to support your planning process.

6.2 No Guarantee of Accuracy

AI Output may contain errors, inaccuracies, omissions, or outdated information. We do not guarantee the accuracy, completeness, reliability, or suitability of any AI Output for any particular purpose. You are solely responsible for reviewing and validating all AI Output before relying on it.

6.3 Human Review Required

All AI Output should be reviewed by qualified individuals within your organization before being adopted or acted upon. Critical decisions regarding your organization’s strategy, finances, operations, or governance should involve appropriate professional advisors.

6.4 No Professional Relationship

Use of the Service does not create a consulting, advisory, fiduciary, or professional relationship between you and Prosperity AI Inc. We are a technology provider, not a consulting firm.

6.5 AI Technology Limitations

You acknowledge that:

• AI technology is inherently imperfect and may produce unexpected or incorrect results
• The same inputs may produce different outputs at different times
• AI technology evolves, and output quality may change as we update the Service
• AI Output may occasionally include information that sounds plausible but is factually incorrect

6.6 Third-Party AI Processing

The Service uses Anthropic’s Claude API to process your content. We do not control the underlying AI models or their outputs. Our Privacy Policy provides additional details about how your data is processed.

7. Intellectual Property

7.1 Your Content — You Own It

You retain all ownership rights to your User Content. This includes your organizational data, financial records, strategic plans, uploaded documents, and any other materials you create or submit. We do not claim ownership of your User Content.

7.2 License You Grant Us

By submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and transmit your User Content solely for providing and operating the Service. This license exists only while you maintain an account with us. We will not use your content for marketing or sell it to third parties.

7.3 AI Output Ownership

AI Output generated through your use of the Service is yours to use. You acknowledge that similar output may be generated for other users with similar inputs, and we do not guarantee that AI Output is unique or original.

7.4 Our Intellectual Property

The Service itself — including its design, software, algorithms, user interface, branding, logos, and documentation — is the exclusive property of Prosperity AI Inc.

7.5 Feedback

If you provide us with suggestions or feedback about the Service, you grant us the right to use that feedback for any purpose without obligation or compensation.

8. Data Ownership, Privacy, and Portability

You own your data. We are custodians of your User Content, not owners. You may export your data at any time through the export features in the Service or by contacting us.

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We may create aggregated, anonymized data derived from your use of the Service. Such data does not identify you or your organization and may be used for any lawful purpose.

9. Confidentiality

We treat your User Content as confidential and will not disclose it to third parties except as necessary to provide the Service, as required by law, or as described in these Terms and our Privacy Policy.

10. Term, Termination, and Account Deletion

10.1 Termination by You

You may cancel your subscription and close your account at any time. Upon cancellation, your subscription remains active through the end of your current billing period. You will have 30 days after your billing period ends to export your data.

10.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or if we are required to do so by law. If we terminate for reasons other than a Terms violation, we will provide reasonable notice and an opportunity to export your data.

10.3 Account Deletion

Upon account closure, we will delete your User Content within 90 days, except where required by law. Backups may persist for an additional period consistent with our retention schedule.

11. Limitation of Liability

11.1 Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 Limitation of Damages

To the maximum extent permitted by law, Prosperity AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities; damages arising from reliance on AI Output; or damages from decisions made based on content generated by the Service.

11.3 Cap on Liability

Our total aggregate liability for all claims shall not exceed the greater of (a) the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Prosperity AI Inc. from any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Service, your User Content, your violation of these Terms, or any decisions or actions taken based on AI Output.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of laws principles. Any legal action shall be brought exclusively in the state or federal courts located in the State of Michigan.

14. Dispute Resolution

14.1 Informal Resolution First

Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us at contact@prosperityai.com. We will attempt to resolve the dispute through good-faith negotiation within 60 days.

14.2 Binding Arbitration

If informal resolution fails, either party may elect binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Michigan and be conducted by a single arbitrator.

14.3 Class Action Waiver

You and Prosperity AI Inc. agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Modification of Terms

We may update these Terms from time to time. When we make material changes, we will notify you at least 30 days before the changes take effect. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service before the changes take effect.

16. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. If we discontinue the Service entirely, we will provide at least 90 days’ notice and an opportunity to export your data.

17. Force Majeure

We shall not be liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, acts of government, pandemics, labor disputes, power failures, or failures of third-party service providers.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prosperity AI Inc. regarding your use of the Service and supersede all prior agreements.
